PLEASE READ THESE TERMS AND CONDITIONS CAREFULLY BEFORE USING THIS SITE
- INTERPRETATION AND DEFINITIONS
- In these Terms, the following expressions shall have the meanings set out below:
| “Annual Report” | the aggregated, anonymised industry benchmarking report produced by Us each year using collated Survey Response Data from participating organisations across the sector, as further described in term 12. |
| “Authorised User” | the individual responsible for accessing the Services on Your behalf, which may be You personally. |
| “Business Day” | any day other than a Saturday, Sunday or public holiday in England. |
| “Commencement Date” | the date on which an Authorised User first accesses the Site. |
| “Content” | all text, data, graphics, images, reports, results, software, and other materials published on or made available through the Site, including the Survey Results, Personalised Report and/or Annual Report. |
| “Controller, Processor, Data Subject, Personal Data, Personal Data Breach, Processing” | shall each have the meaning given in the UK GDPR. |
| “Data Protection Legislation” | all applicable data protection and privacy legislation in force in the United Kingdom from time to time, including the UK GDPR, the Data Protection Act 2018, the Privacy and Electronic Communications (EC Directive) Regulations 2003, and any subordinate legislation or guidance issued thereunder, as amended, replaced or re-enacted from time to time. |
| “Intellectual Property Rights” | all patents, rights to inventions, copyright and related rights, trade marks, service marks, trade names and domain names, rights in get-up, goodwill and the right to sue for passing off or unfair competition, rights in designs, database rights, rights to preserve the confidentiality of information (including know-how and trade secrets), and any other intellectual property rights, including all applications for, and renewals or extensions of, such rights. |
| “Legal Professional” | a solicitor, licensed conveyancer, legal executive, conveyancing consultant, or other individual or organisation with a professional interest in or connection to the conveyancing industry. |
| “Personalised Report” | the individual, firm-specific results report generated from an Authorised User’s Survey responses, made available to the Authorised User following submission. |
| “Privacy Policy” | Our privacy policy, available at www.digitalconveyancingmaturityindex.co.uk/privacy-policy, as amended from time to time. |
| “Services” | the services provided by Us comprising the Survey, the generation of Your Personalised Report, download of the Annual Report, and access to the Site and any other services provided by Us on the Site from time to time. |
| “Site” | Our website at www.digitalconveyancingmaturityindex.co.uk, including all pages, sub-domains, and associated digital services. |
| “Survey” | the Digital Conveyancing Maturity Index, a sector-specific assessment of the technology used in the conveyancing industry, hosted on the Site from time to time, as may be updated or amended. |
| “Survey Response Data” | all data, answers, responses, and materials submitted by an Authorised User in connection with a Survey. |
| “Survey Results” | the Personalised Report and any other outputs, analyses, benchmarks, or reports produced by Us based wholly or in part on Survey Response Data. |
| “Terms” | these terms of use, including any documents incorporated by reference, as amended from time to time. |
| “UK GDPR” | the UK General Data Protection Regulation as it forms part of the law of England and Wales by virtue of the European Union (Withdrawal) Act 2018. |
| “User Account” | any Authorised User’s individual account used to access the Services via the Site. |
| “Us” / “Us” / “Our” | InfoTrack Limited, a private limited company incorporated in England (company number 09474590), whose registered office is at 10 John Street, London, WC1N 2E. |
| “You” / “Your” | the Legal Professional using the Services, or on whose behalf the Services are accessed. |
- In these Terms:
- references to “writing” or “written” include email;
- headings are for convenience only and shall not affect interpretation;
- references to statutes or statutory provisions include all subordinate legislation made under them and any amendments or re-enactments;
- the singular includes the plural and vice versa.
- These Terms constitute a binding legal agreement between You and Us. Consideration for this agreement is provided by the mutual exchange of obligations set out herein, including Your provision of Survey Response Data and Our provision of the Personalised Report and access to the Site.
- ACCEPTANCE OF TERMS AND FORMATION OF AGREEMENT
- By accessing the Services, the Authorised User:
- confirms that they have the authority to bind You to these Terms;
- has read, understood and shall comply with these Terms on Your behalf; and
- accepts these Terms on Your behalf.
- All subsequent references to “You” and “Your” in these Terms include the Authorised User where the context so requires. You remain responsible for the Authorised User’s compliance with these Terms in all respects, including without limitation any breach of these Terms by the Authorised User.
- These Terms apply to the exclusion of any other terms that You seek to incorporate, or which are implied by trade, custom, practice or course of dealing.
- A binding agreement between You and Us on these Terms comes into existence on the Commencement Date.
- ELIGIBILITY
- The Services are solely reserved for Legal Professionals located in the United Kingdom. By accessing the Services, You warrant that You:
- are a Legal Professional; and
- are accessing the Services from within the United Kingdom.
- We reserve the right to verify eligibility and to refuse, suspend or revoke access to the Services at any time where, in Our reasonable opinion, You do not meet or no longer meet the eligibility requirements set out in these Terms.
- SERVICES
- The Services are provided to You free of charge.
- In order to receive the Survey Results and/or the Personalised Report, You must complete the Survey and provide Survey Response Data to Us in full and in accordance with the conditions outlined in term 5.
- We shall use reasonable skill and care in the provision of the Services.
- We may, at Our sole discretion, update and change the Site and the content of the Site and/or Survey from time to time.
- We make no representation that the Services:
- are appropriate for use, or lawfully available, outside of the United Kingdom;
- are suitable for Your purpose; or
- will always be available, uninterrupted or error-free.
- We reserve the right, at Our sole discretion, to:
- suspend, withdraw, restrict the availability of and/or modify all or any part of the Services at any time and for any reason;
- decline to generate or delay the provision of the Services.
- We shall not be liable to You for any loss, damage, expenses or costs incurred by You and arising from or in connection with term 4.6.
- Time shall not be of the essence in relation to the provision of the Services, including the delivery of any Survey Results, Personalised Report and/or Annual Report.
- You acknowledge and agree that the generation and provision of the Services are dependent on the collection, processing and analysis of Survey Response Data and is dependent on sufficient responses being collected.
- We do not guarantee that Services will be provided immediately or within any specific timeframe, and any timeframes communicated by Us shall be estimates only.
- We shall not be in breach of these Terms, nor liable for any delay in providing the Services.
- YOUR OBLIGATIONS
- When completing the Survey, You undertake to:
- complete the Survey honestly, accurately and to the best of Your ability and knowledge;
- not to make any video or audio recordings or take photographs of the Survey using any media, including mobile phones or tablets;
- comply with the reasonable instructions of Our staff relating to the Survey; and
- not attempt access, interfere with, or manipulate the Survey in any manner which is contrary to these Terms.
- By submitting Survey Response Data, You grant Us a non-exclusive, irrevocable, perpetual, worldwide, royalty-free licence to use, copy, store, analyse and process Your Survey Response Data for the following purposes:
- providing the Services, including generating the Survey Results and Your Personalised Report;
- producing the Annual Report which is available to the public; and
- improving, developing and operating the Services.
- You represent and warrant that:
- You are authorised to submit the Survey Response Data;
- the Survey Response Data does not infringe the Intellectual Property Rights of any third party; and
- the Survey Response Data does not contain Personal Data relating to any third party unless You are authorised to share such Personal Data and have provided all required notices to those individuals.
- Failure to comply with any obligation in term 5 may, at Our sole discretion, result in Your disqualification from the Survey, the invalidation of Your Survey Response Data, and the removal of Your access to the Services.
- ACCOUNT CREDENTIALS AND SECURITY
- You must keep Your User Account details safe and secure at all times.
- If You choose, or You are provided with, a user identification code, password or any other piece of information as part of Our security procedures, You must treat such information as confidential. You must not disclose it to any third party.
- We have the right to disable any User Account, whether chosen by You or allocated by Us, at any time, if in Our reasonable opinion You have failed to comply with any of the provisions of these Terms.
- If You know or suspect that anyone other than You knows Your User Account details, You must promptly notify Us.
- TERMINATION AND SUSPENSION OF ACCESS
- We may, at Our sole discretion and without prior notice, terminate or suspend Your access to the Services with immediate effect if:
- You breach, or We reasonably suspect that You have breached, any provision of these Terms;
- Your conduct in relation to the Services is, in Our reasonable opinion, unacceptable or prejudicial to Our interests or reputation;
- We are required to do so by law or by a competent regulatory authority; or
- We determine that Your eligibility under Term 3 has not been met or has ceased to apply.
- Termination or suspension of Your access in accordance with term 7.1 shall not affect any rights or obligations that have accrued prior to termination, including obligations in respect of Survey Response Data already submitted.
- Any term which by its nature is intended to survive termination of these Terms shall continue in full force and effect, including (without limitation) terms relating to intellectual property, liability, data protection and governing law.
- INTELLECTUAL PROPERTY RIGHTS
- We are the owner or the licensee of all Intellectual Property Rights in the Services, and in all Content, including the Survey, Personalised Report, Survey Results, and the Annual Report. All such rights are reserved.
- Subject to term 8.1, You may:
- access and use the Services solely for Your own internal business use; and
- print off one copy and download extracts of any page(s) from the Survey Results, Annual Report and/or Personalised Report for Your internal business, provided that You do not modify the Content and that Our authorship is always acknowledged.
- You must not:
- reproduce, distribute, modify, adapt, publicly display or create derivative works from any Content without Our prior written consent;
- use any part of the Content for commercial purposes (including selling access to or copies of the Personalised Report, Survey Results or Annual Report) without obtaining a licence to do so from Us or Our licensors; or
- remove or obscure any proprietary notices or attributions on any Content.
- If You breach any obligations of this term 8, Your right to use the Services will cease immediately and You must, at Our option, return or destroy any copies of the Content you have made.
- RELIANCE
- The content on Our Site or any information provided in a Survey, Survey Results or Annual Report is provided for general information only. It is not intended to amount to advice on which You or any third party should rely. You must obtain professional or specialist advice before taking, or refraining from, any action on the basis of the content on Our Site or of the information in the Survey, Survey Results or Annual Report.
- Although We make reasonable efforts to update the information on Our Site and in the content of Our Surveys, Survey Results or Annual Report, We make no representations, warranties or guarantees, whether express or implied, that the content any of those documents is accurate, complete or up to date.
- We are not responsible for Websites We link to.
- Where Our Site contains links to other sites and resources provided by third parties, these links are provided for Your information only. Such links should not be interpreted as approval by Us of those linked websites or information you may obtain from them. We have no control over the contents of those third-party sites or resources.
- LIABILITY
- We do not exclude or limit in any way Our liability to you where it would be unlawful to do so. This includes liability for death or personal injury caused by Our negligence or the negligence of Our employees, agents or subcontractors and for fraud or fraudulent misrepresentation.
- We exclude all implied conditions, warranties, representations or other terms that may apply to Our Site or any content on it or in relation to the Survey, Personalised Report, Survey Results and/or Annual Report.
- We will not be liable to you for any loss or damage, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, even if foreseeable, arising under or in connection with:
- use of, or inability to use, the Site; or
- use of or reliance on the Survey, Survey Results and/or the Annual Report.
- In particular, We will not be liable for:
- loss of profits, sales, business, or revenue;
- business interruption;
- loss of anticipated savings;
- loss of business opportunity, goodwill or reputation; or
- any indirect, special or consequential loss or damage.
- Subject to this clause 10, our maximum aggregate liability under this Agreement shall not exceed £1,000.
- You assume any and all risk whatsoever related to Your participation in the Survey, and release and discharge Us from any liability to the fullest extent allowed by the law.
- DATA PROTECTION
- Both parties shall comply with their respective obligations under Data Protection Legislation in connection with the performance of each party’s obligations within these Terms.
- We will process any Personal Data You provide to Us in accordance with Our Privacy Policy. By using the Services, You acknowledge that You have read and understood Our Privacy Policy.
- We will use Personal Data provided by You only:
- to provide the Services, including to send to you the Survey Results, Personalised Report and/or Annual Report;
- to administer Your account and access to the Services;
- for any post-Survey marketing activity You consent to.
- SECURITY
- We do not guarantee that Our Site will be secure or free from bugs or viruses.
- You are responsible for configuring your information technology, computer programmes and platform to access Our Site.
- You should use Your own virus protection software.
- You must not:
- misuse Our Site by knowingly introducing viruses, trojans, worms, logic bombs or other material that is malicious or technologically harmful;
- attempt to gain unauthorised access to Our Site, the server on which Our Site is stored or any server, computer or database connected to Our Site; or
- attack Our Site via a denial-of-service attack or a distributed denial-of-service attack.
- A breach of term 12.4 shall constitute:
- a material breach of these Terms, in the event of which, Your right to use Our Site will cease immediately; and
- a criminal offence under the Computer Misuse Act 1990, which We shall report any such breach to the relevant law enforcement authorities and We will co-operate with those authorities by disclosing Your identity to them.
- GENERAL
- Entire Agreement. These Terms constitute the entire agreement between You and Us in connection with Your use of the Services, and supersede all prior representations, agreements and understandings.
- Variation. We may amend these Terms at any time. We shall only notify You in writing (by posting a notice on the Site or email) where the amendments constitute a material change. The date of the most recent revision will be stated on the Site.
- Assignment and Novation. We may assign, transfer, sub-contract or otherwise deal with Our rights and obligations under these Terms to any third party, provided that We notify You in writing and ensure that the assignee is bound by obligations not less onerous than those set out herein. You may not assign, transfer or otherwise deal with Your rights or obligations under these Terms without Our prior written consent.
- Severance. If any provision of these Terms is held to be invalid or unenforceable, that provision shall be modified to the minimum extent necessary to make it valid and enforceable, and the remaining provisions shall continue in full force and effect.
- Waiver. A failure or delay by either party to exercise or enforce any right or remedy under these Terms shall not constitute a waiver of that right or remedy.
- Third Party Rights. These Terms are for the benefit of the parties only. Nothing in these Terms is intended to confer any rights on any third party under the Contracts (Rights of Third Parties) Act 1999.
- Force Majeure. Neither party shall be liable for any delay or failure to perform its obligations under these Terms arising from circumstances beyond its reasonable control, including acts of God, pandemic, civil unrest or failure of telecommunications infrastructure.
- Governing Law & Jurisdiction. These Terms, their subject matter and their formation (including any non-contractual disputes or claims arising out of or in connection with the Terms) are governed by English law. The parties irrevocably agree to the exclusive jurisdiction of the courts of England in respect of any dispute or claim arising out of or in connection with these Terms.
